a. The Department grants Contractor the right to operate a general vending service at Department’s Facility. Contractor shall at no cost to Department install automatic food and drink machines as specified in the Vending Services Bid Sheet, attached and incorporated into this Contract, and will keep the machines supplied so as to adequately provide the Department’s employees and visitors with sufficient amounts of, drinks, and snacks of high quality, prepared and dispensed in conformity with all applicable state, federal and other health and sanitation standards. If the average number of visitors and employees using the machines increases appreciably, Contractor will at no cost to Department furnish and install such additional machines as Contractor deems necessary and proper for prompt consumer access to the product. The Contractor shall provide, through its vending machines, merchandise that is reasonably priced and offered in reasonably sized portions. Machines will be serviced with sufficient frequency to keep them fully operational at all times. b. Unless otherwise agreed upon in writing by both parties, Contractor must provide vending machines and necessary equipment within 14 calendar days of contract begin date. If machines and equipment are not delivered within the timeframe specified, contractor will be considered in breach of contract and contract may be terminated for cause (refer to Section E2). c. The Department shall at its own expense provide Contractor with all necessary utility outlets at the designated area where vending equipment is to be located. In addition, Department shall furnish without cost to Contractor all necessary water, lights, and electric service. Department agrees to notify Contractor as soon as practicable of any interruption or proposed interruption of such services. d. Contractor shall install only Energy Star compliant vending machines as specified in Section g, Special Terms and Conditions. Such machines and equipment installed by Contractor under this Contract and their contents are and remain the property of Contractor. Upon written consent by the Department, Contractor shall have the right at any time during normal business hours to remove, replace, or add any of the machines. Department may request additional machines, as it feels necessary to perform the services herein, and Contractor may not unreasonably deny the Department’s request. Department agrees to permit only authorized personnel to remove or tamper in any way with any of the machines. e. Contractor shall operate and maintain all vending equipment in a clean and sanitary condition in accordance with all recognized standards for such equipment and in accordance with all laws, ordinances, regulations, and rules of Federal, State, and local authorities. Contractor shall be solely responsible for any and all machine repairs, replacements, and other associated costs. Maximum response time for a repair call will be twenty-four (24) hours from the Department’s notification to the Contractor. f. Contractor shall at Contractor’s own cost and expense obtain and maintain all required Federal, State, or local licenses and permits required to perform services under this Contract for the term of this Contract. g. Contractor’s personnel must comply with all Department rules and regulations, including the Department’s dress code and behavior requirements for employees and visitors. Department agrees to furnish Contractor’s personnel with any necessary identification passes required for entrance or exit from Department’s premises at all reasonable times. Department may deny Contractor personnel access to the Facility if such personnel violate any of the Department’s rules and regulations or the Department deems such personnel unacceptable.
