SCOPE OF THE WORK:
This project is for the remodeling of (6) 12’x 8’ contractor constructed vault toilet buildings, 3 at Hubscher, 3 at Reed. The price should reflect all labor, equipment, and materials. Contractor will remove existing materials inside and out and replace with sheet metal to match current buildings at the parks while leaving the current roof.
SPECIAL CONDITIONS:
Gratiot County Parks will obtain all necessary permits and provide plans according to county permits requirements. The bid shall be awarded to the vendor providing the proposal deemed as being in the best interest of Gratiot County.
COMPLETION DATE
The completion date for this project shall be December 20, 2024. Work shall commence within 14 days of notification from the Gratiot County Parks and Recreation that construction can be started.

GENERAL PAN NOTES
Payment for all work, materials, equipment, labor, methods and procedures required to construct the project using part width construction, will not be paid for separately, but shall be included in other items of work.
MEASUREMENT AND PAYMENT
Final Payment will be made on an Approved Final Estimate after acceptance of all work in the contract by the Parks and Recreation.
INSURANCE
Proof of Adequate Insurance Coverage by the successful bidder will be required as part of this contract. The successful bidder must furnish proof of Workers Compensation Insurance and furnish a separate Liability Insurance Policy in favor of the Parks and Recreation naming the County of Gratiot and its Commissioners and Employees as an additional named insured, in the amount of $1,000,000. See Appendix A for more information.

- Vendors may submit any other information that is not described in this proposal that would be beneficial to Gratiot County. If in the vendor’s opinion the County has overlooked anything material or relevant, such item(s) may be brought to the County’s attention and be included in the proposal.

Terms and Conditions:
- Gratiot County reserves the right to accept or reject any or all proposals or portions thereof without stated cause.
- Gratiot County reserves the right to re-issue any requests for proposals.
- Clarification of proposals: Gratiot County reserves the right to obtain clarification of any point in a vendor’s proposal or obtain additional information.
- Gratiot County is not bound to accept the proposal with the lowest cost, but may accept the proposal that demonstrates the best ability to meet the needs of the County.
- The County reserves the right to waive any formalities, defects, or irregularities in any proposal, response, and/or submittal where the acceptance, rejection, or waiving of such is in the best interests of the County.
- The County reserves the right to disqualify any proposal, before or after opening, upon evidence of collusion, intent to defraud, or any other illegal practice on the part of the vendor.
- The finalist vendor agrees to the fullest extent permitted by law to indemnify, defend and hold harmless the County, its agents, officers and employees from and against all loss or expense including costs and attorney fees by reason of liability for damages including suits at law or in equity, caused by any wrongful, intentional or negligent act or omission of the vendor, or its (their) agents and/or subcontractors which may arise out of or connected with activities covered by this contract.
Appendix A
INSURANCE REQUIREMENTS
The contractor, and any and all of their subcontractors, shall not commence work under this contract until they have obtained the insurance required under this paragraph, and shall keep such insurance in force during the entire life of this contract. All coverage shall be with insurance companies licensed and admitted to do business in the State of Michigan and acceptable to the County. The requirements below should not be interpreted to limit the liability of the Contractor. All deductibles and SIRs are the responsibility of the Contractor.
The Contractor shall procure and maintain the following insurance coverage:
- Worker’s Compensation Insurance, including Employers’ Liability Coverage, in accordance with all applicable statues of the State of Michigan.
- Commercial General Liability Insurance on an “Occurrence Basis” with limits of lability not less than $1,000,000 per occurrence and aggregate. Coverage shall include the following extensions: (A) Contractual Liability; (B) Products and Completed Operations; (C) Independent Contractors Coverage; (D) Broad Form General Liability Extensions or equivalent, if not already included; (E) Deletion of all Explosion, Collapse, and Underground (XCU) Exclusions, if applicable.
- Automobile Liability, including Michigan No-Fault Coverages, with limits of liability not less than $500,000 per occurrence combined single limit for Bodily Injury and Property Damage. Coverage shall include all owned vehicles, all non-owned vehicles, and all hired vehicles.
- Additional Insured: Commercial General Liability and Automotive Liability, as described above shall include an endorsement stating the following shall be Additional Insureds: Gratiot County, all elected and appointed officials, all employees and volunteers, agents, all boards, commissioners, and/or authorities and board members, including volunteers thereof. It is understood and agreed by naming the County as additional insured, coverage afforded is considered to be primary and other insurance the County may have in effect shall be considered secondary and/or excess.
- Cancellation Notice: Worker’s Compensation Insurance, Commercial General Liability Insurance, Automobile Insurance, as described above, shall be endorsed to state the following: It is understood and agreed Thirty (30) days, Ten (10) days for non-payment of premium, Advance Written Notice of Cancellation, Non-Renewal, Reduction, and/or Material Change shall be sent to: Gratiot County, Attention: Kalin Lombard, 214 E. Center St., Ithaca, MI 48847.
- Owners’ and Contractors’ Protective Liability: The Contractor shall procure and maintain during the life of this contract, a separate Owners’ and Contractor’s Protective Liability Policy with limits of liability not less than $1,000,000 per occurrence and aggregate. The County shall be “Named Insured” on said coverage. A thirty (30) day, ten
(10) day for non-payment of premium, Notice of Cancellation shall be endorsed onto this
policy. In lieu of this requirement, per project aggregate on the Commercial General Liability policy may be acceptable for jobs requiring a $1,000,000 liability limit.
- Proof of Insurance Coverage: The Contractor shall provide the County at the time the contracts are returned by him/her for execution a Certificate of Insurance as well as the required endorsements. In lieu of required endorsements, if applicable, a copy of the policy sections where coverage is provided for additional insured and cancellation notice would be acceptable. Copies of all policies mentioned above shall be furnished, if so requested.
If any of the above coverages expire during the term of this contract, the Contractor shall deliver renewal certificates, endorsements, and/or policies to the County at least ten (10) days prior to the expiration date.
