Specifications include, but are not limited to: The duties of legal counsel for TCAT, Inc. are expected to include: Corporate: Attend Board and Executive Committee meetings; draft and review Board resolutions; assure compliance with bylaws and with non-profit requirements; assist in development of corporate policies and procedures; advises Board and TCAT staff on corporate matters. Contracts: Draft and review contracts with third parties for a wide variety of goods and services (including transportation, professional, and service contracts); review requests for proposals and construction bid packages. Regulatory: Research and interpret regulations of federal and state transit agencies and boards, including U.S. Department of Transportation, Federal Transit Administration, NYS Department of Transportation, NYS Department of Motor Vehicles, and NYS Public Transportation Safety Board; assist in development of policies and procedures to comply with transit laws and regulations. Labor and Personnel: Provide advice on full array of employment, personnel and labor issues; research and interpret federal, state and local laws and regulations; draft, review and negotiate employment and personnel policies; interpret provisions of collective bargaining agreement; assist in negotiation of new agreement upon expiration of existing agreement; participate in labor arbitrations. Litigation: Monitor tort cases handled by insurance defense counsel; initiate and defend other litigation.
