Please note: This is a Sole Source Notification. UDOT uses PTV VISSIM and VISTRO to evaluate all of the Department's most critical and unique transportation projects for traffic operations. The UDOT Traffic Management Divisions’s review and approval of these VISSIM models is also required as a prerequisite by FHWA for approval of all IACR's (Interchange Access Change Requests). PTV America, Inc. agrees to a multi-year pricing structure for UDOT annual software maintenance for the next five years (September 1, 2024 through August 31, 2029). The parties have agreed to the pricing schedule shown below for software maintenance on UDOT’s existing software license pool plus the addition of two (2) more Vissim licenses and one (1) more Vistro license (for a total of six (6) Vissim licenses and four (4) Vistro licenses). The maintenance pricing will not exceed an annual increase greater than 5% beyond Year 2. UDOT agrees to accept the invoices as agreed and issue payment on each invoice per the payment terms of net-60 and billed 30 days prior to each annual period expiration. This agreement authorizes PTV to bill UDOT pursuant to this agreement according to the Payment Schedule below. Subsequent renewal will take place upon both parties’ written consent. The notifications will be sent to UDOT no later than 90 days prior to expiration of this five-year contract. Maintenance includes unlimited technical support, software updates, and new versions. Licenses may be traded up at any time, with purchase price credit towards a higher level. This contract covers the expected update to the software that allows review traffic analysis that comes in from the developer, consultants and sister agencies (such as WFRC, MAG and UTA). In total, there are six non-network Vissim Advanced Plus licenses and four non-network Vistro licenses covered under the maintenance schedule and pricing below.
