1. Term. The term of this Agreement shall be 20 years or the life of the scoreboard, whichever comes first. The parties reserve the right to terminate this Agreement as set forth in Paragraph 5. The Donor shall have the right of first refusal and ability to renew this Agreement at the end of the Term. In the event the life of the scoreboard becomes in question prior to 20 years from the date of this signed contract, both the donor and district will mutually agree that repair costs exceed the value of the scoreboard in its current state rendering the life of the structure has ended. 2. Gift. Donor hereby acknowledges that it shall pay the sum of [insert amount] (“Gift”) to the District on [insert date]. The Gift was pledged and/or paid by the Donor for purposes of having sponsorship naming rights on the newly installed (2025) scoreboard at LaPierre Baseball Field located at 400 Lesa Maria Ln, Kennewick, WA 99338. Once gift/donation is receipted by the district, the district will create a formal letter recognizing the donation and will send to the donor for proper recognition. The district will be the sole owner of the capital asset for the duration of the life of the structure and will be responsible for all repairs/upgrades. Donor will also need to cover the cost of the creation and installation of the banner sign, estimated at $3000. The banner sign can not exceed approximately 36 ft in width. Size will ultimately be determined by the structural capacity of the existing scoreboard. 3. Sponsorship. Subject to the terms of this Agreement, and in consideration for the Gift, the District will acknowledge the Gift by displaying exclusive signage identifying the Donor during sporting events on the scoreboard with a “banner style” display near the bottom of the scoreboard. (“Sponsorship”) following the completion of the Project. No Sponsorship signage will be erected prior to the completion of the Project or in the event Donor fails to make the Gift as described in Paragraph 2 above. 4. Signage. The District and the Donor shall cooperate in good faith on the design of the Sponsorship signage, provided, however, the district retains the ultimate authority to designate the exact design of the Sponsorship signage. The Sponsorship signage, including its design and its content, must be approved by the district before it is presented at any location. The content of the Sponsorship signage must comply with the applicable rules and policies of the District’s School Board (the “Board”), including but not limited Board Policy 9325. 5. Termination of Sponsorship. In addition to any rights and remedies available by law, the district may terminate this Agreement and all rights and benefits of the Donor hereunder, including terminating the Sponsorship, in the event of any of the following: a. The district does not obtain sufficient funding to complete the Project, or the Project is not completed for any reason. b. The Donor fails to make the Gift as described in Paragraph 2 above. c. The location of the Sponsorship is transferred or conveyed from the district, closed, deconstructed, destroyed, severely damaged, significantly renovated, upgraded, modified, relocated, or replaced; or of our Proposal and any resulting contracts with the Kennewick School District.
