Specifications include, but are not limited to: It is anticipated that at a minimum, the Proxy Voting Service Provider (Advisor) will be required to provide the following services. 1. Track and monitor through TRS’ custodian, currently State Street Bank, the holdings of the TRS portfolios for the purpose of providing proxy services, including monitoring meeting schedules and agendas, researching the effect on shareholders of proxy voting proposals, recommending TRS shareholder proxy votes, and acting as voting agent for TRS. 2. A list of TRS holdings of international and domestic equity securities as of December 31, 2010 is provided as Exhibit A. Annual level of service is estimated to be: a. Global Meetings at least 5,000 b. US & Global Ballots at least 14,000 c. Accounts at least 100 TRS reserves the right to reevaluate the above quantities on an annual basis. If TRS usage dictates a change in the above quantities, TRS and the Advisor will mutually determine the change in pricing. 3. Reconcile, through cooperative efforts with TRS custodian any discrepancies, including but not limited to holdings, ballots, numbers of shares held, proxies to be voted, votes against management, and votes with management. 4. Provide TRS with printable and savable electronic copies of original research and analysis for each proposal to be voted upon by proxy on behalf of TRS. 5. Provide personalized assistance and advice to TRS staff upon request with respect to specific proxy ballot proposals, including anticipated effects on corporate governance. 6. Provide timely notification to specified TRS staff regarding Advisor’s voting recommendation on each item on each proxy.
