Specifications include, but are not limited to: The Washington State Department of Transportation (WSDOT) issues this Request for Quotation (RFQ) under the authority of the Revised Code of Washington (RCW) 39.26. WSDOT is seeking quotes for approximately 4,500 cubic yards of Winter Sand Material to be delivered to the inventory control points (ICPs) specified below and on the attached request for quotation form. The total quantity listed in this solicitation is an estimate. WSDOT makes no guarantee that a purchase will occur as a result of this solicitation and does not guarantee minimum or maximum quantities. Contract Term The initial term of this contract is one year from date of award with the option to extend for additional term(s) or portions thereof. Extension for each additional term shall be offered at the sole discretion of the WSDOT and are subject to written mutual agreement. The total contract term, including the initial term and all subsequent extensions, shall not exceed six years unless an emergency exists and/or special circumstances require a partial term extension. The WSDOT reserves the right to extend with all or some of the Vendors, solely determined by WSDOT. Price Adjustments At least one hundred twenty (120) calendar days before the end of the current term of this Contract, Vendor may propose purchase Price and maintenance and support (service) rate increases by written notice to the Procurement Coordinator. Price adjustments may be taken into consideration by the Procurement Coordinator when determining whether to extend this Contract. Price Increases will not be considered without supporting documentation sufficient to justify the requested increase. Vendor shall provide a detailed breakdown of their costs upon request. Vendors shall not make extensions contingent on price adjustments. Documentation must be based on published indices [such as the Producer Price Index] and/or the result of increases at the manufacturer's level, incurred after contract commencement date. The grant of any price adjustment will be at the sole discretion of the WSDOT and, if granted, shall not produce a higher profit margin for the Vendor than that established by the original contract pricing. The Vendor shall be notified in writing by the Procurement Coordinator of any price adjustment granted by WSDOT and such price adjustment shall be set forth in a written amendment to the contract. Price adjustments granted by WSDOT shall remain unchanged for at least 365 calendar days thereafter, and no request for adjustments in price will be considered during that time period. Multiple Awards This contract may be awarded to multiple vendors based on ICP location; however, only one vendor will be awarded per ICP.
