The Town of Dover seeks bond counsel services to assist the Town and its general counsel related to conducting a referendum and bond offering for the construction of a new recreation center at Thomas Boyce Park in Wingdale, NY.
The firm selected will be required to perform all services and duties customarily and usually performed by bond counsel preliminary to and accompanying the rendering of an approving opinion as to legality and tax exempt status of the Town’s bonds, notes or other debt instruments. Services to be performed by Bond Counsel shall include, but are not limited to, the following:
A. reviewing the financing program proposed by the Town’s financial advisor and advising as to compliance of the program with applicable law and pending or proposed revisions in the law, including U.S. Treasury rules and regulations;
B. advising as to procedures, required approvals and filings, schedule of events for timely issuance, potential cost-saving techniques and other legal matters relative to issuance of the bonds or other debt instruments, whether the financing is undertaken by competitive bid or negotiated sale;
C. attending conferences of Town officials, staff members, Town financial advisor, Town General Counsel, rating agencies, and if a negotiated sale is undertaken, representative(s) of the selected underwriters, when so requested;
D. preparing appropriate bond resolutions in order to authorize the issuance of the bonds, notes, or other debt instruments; and the appropriate election proceedings thereon;
E. review SEQRA compliance proceedings and documentation with General Counsel;
F. reviewing the transcript of all proceedings in connection with the foregoing and indicating any necessary corrective action;
G. if sale by competitive bid, assisting in the preparation of the bid documents, notice of sale, any other documentation or action necessary to conduct a sale in that manner;
H. assisting in preparation of the preliminary official statement and official statement, and preparation of the award resolution or certificate, for the sale of the bonds;
I. preparing, obtaining, delivering, and filing all closing papers necessary in connection with the sale and issuance of the bonds or other debt instruments;
J. providing bound copies of the closing documents in the number requested by the Town; and
K. issuing standard, comprehensive bond counsel opinion as to the legality of the bonds, notes or other debt instruments, the security for their payment and the exclusion of interest for federal income taxation purposes.
